Terms of Service

These Terms govern your use of capitalnotes.xyz and the Capitalnotes app (the “Services”).

By using the Services, you agree to these Terms. Use of the Services is also subject to our Privacy Policy.

The service

Capitalnotes is a research notebook for self-directed investors. You can run structured analyses, keep a decision journal (notes, holdings, theses, and timeline), and use Discover as a starting point for further research. Journal, favorites, research queue, and portfolio context are included with an account. They are not sold as separate products.

We are not a broker, advisor, or bank. Analyses, Discover results, charts, and other output are research tools, not recommendations, picks, or advice. You own every investment decision.

Eligibility

You must be legally able to use the Services and must provide accurate information. We do not knowingly collect personal data from anyone under 13. If you use Google sign-in, Google’s terms apply to that sign-in.

Polar payments

Polar is our merchant of record. Checkout, card collection, and payment processing run through Polar. They are subject to Polar’s terms and privacy policy. We receive plan, subscription status, and Polar identifiers. We do not store card numbers.

Paid access is metered in analysis credits. Analyses and Discover each consume credits as shown in the product. New accounts may receive a short trial with a limited number of credits, whichever runs out first. Plan prices, credit amounts, and what each plan includes are shown at checkout and on the pricing page. Taxes and fees follow Polar’s checkout terms and applicable law.

You can manage or cancel a subscription in Polar’s customer portal from Settings → Billing. Canceling a paid plan keeps that plan’s features until the current period ends, unless Polar’s terms say otherwise. Refund requests are handled under Polar’s checkout terms and mandatory law. Email hello@capitalnotes.xyz before starting a payment dispute.

Your content

You keep the rights in content you put into the Services, including notes, theses, holdings, comments, Discover shortlists, research-queue items, and custom analysis instructions. You grant us a limited license to store, process, and display that content so we can run the Services for you, including sending prompts to AI and research providers when you run Analysis or Discover.

You are responsible for what you store and for keeping your sign-in details safe. Built-in analysis skills and the Capitalnotes product remain ours. Custom analysis definitions you write are yours, subject to the license above and the product’s template and output format.

Analysis and Discover

Analysis produces structured notes, not chat. Discover surfaces candidates to research, not names to buy. Output can be incomplete, outdated, or wrong. Market data, search, and model providers process prompts under their own terms. We do not control how long they retain that data.

If you include portfolio context, a prompt can contain holdings, cash, thesis text, and prior notes. Stock and economic analyses can run without it. Portfolio analyses always include it.

Acceptable use

Do not misuse the Services. That includes trying to break or overload them, scraping private data, bypassing credit or plan limits, using the product to provide regulated investment advice to others as if Capitalnotes were the advisor, or using the Services in a way that violates law. We may suspend or close an account that does this.

Accounts and cancellation

You can delete your account in Settings → Profile. We send a confirmation email first. Deletion removes your journal, portfolio, and analyses on our systems. Polar and other providers may keep records under their own policies.

If you downgrade from Pro to Starter, Pro-only features (including custom analyses) are archived or blocked as described in the product. Notes already produced remain viewable.

Third-party services

The Services rely on third parties we do not operate, including Polar, hosting and database providers, Resend, Google (if you sign in with Google), Vercel AI Gateway and model providers, Perplexity, Finnhub, and Alpha Vantage. Their availability, terms, and content are outside our control. Your use of those services is at your own risk.

Availability and disclaimers

The Services may change, pause, or become unavailable. They are provided as available, without a promise of uninterrupted access, error-free output, or any investment, tax, or legal result. Nothing here removes rights that applicable law does not allow us to limit.

Changes

We may update these Terms when the Services, providers, or the law change. The effective date above shows the current version. If a change is material, we may also email the address on your account. Using the Services after an update means you accept the updated Terms to the extent permitted by law. If you do not agree, stop using the Services and email hello@capitalnotes.xyz.
